Market Risks and Volatility
The stock markets are unpredictable and subject to unforeseen and large movements. No assurance can be given that the Company’s trading and/or investment portfolio will generate any income or will appreciate in value. 

Derivative Transactions
AGM may engage in various derivative transactions on behalf of the Client’s Personal Trading Account or Personal Portfolio Management Account to seek to hedge the holdings in the Client’s Personal Trading Account or Personal Portfolio Management Account. The success of the hedging strategy will be subject to AGM’s ability to correctly assess the degree of correlation between the performance of the instruments used in the hedging strategy and the performance of the trades and investments in the portfolio being hedged. Since the characteristics of many securities change as markets change or time passes, the success of the hedging strategy will also be subject to AGM’s ability to continually recalculate, readjust, and execute hedges in an efficient and timely manner. While AGM may enter into hedging transactions to seek to reduce risk, such transactions may result in a poorer overall performance for the Client than if it had not engaged in any such hedging transactions. 

Concentration of Trading and/or Investments
Because AGM is not restricted from concentrating its trading and/or investments in the securities of a single issuer or guarantor, and may invest all or most of its assets in a single market sector, the negative impact on the Client’s Personal Trading Account or Personal Portfolio Management Account of adverse movements in the value of the securities of a single issuer, guarantor or market sector could be considerably greater than if AGM were not permitted to concentrate its trading and/or investments to such an extent. 

Dependence on Amoeba Growth Management
AGM has full discretion in managing the trading and/or investments of the Client’s Personal Trading Account or Personal Portfolio Management Account. As a result, the success of the Personal Trading Account or Personal Portfolio Management Account depends entirely upon the abilities and efforts of AGM whose President, John F. (Jeff) Conley, shall be solely responsible for the management of the Client’s trading and/or investments.

Limited Withdrawal
The Personal Trading Account or Personal Portfolio Management Account provides limited liquidity. The Client may not withdraw any portion of its Personal Trading Account or Personal Portfolio Management Account during the Lock-up Period. Following the expiration of the Lock-up Period, the Client may withdraw all or a portion of its Personal Trading Account or Personal Portfolio Management Account upon 30 days’ notice to AGM.

Conflicts of Interest
AGM and its principal may trade proprietary capital in the financial markets, engage in trading and/or investment management and advisory activities for other clients, and serve as promoter of and/or adviser to different trading and/or investment vehicles. Each proprietary or client account may have different trading and/or investment programs, goals, objectives, strategies, parameters, and levels of aggressiveness, leverage, and risk. In some cases, it will be appropriate for AGM or its affiliates to employ comparable trading and/or investment strategies for a number of different proprietary or client accounts. In other cases, AGM or its affiliates may employ significantly different trading and/or investment strategies for different accounts. For example, the trading and/or investment strategies which AGM or its affiliates may employ in trading certain proprietary or client accounts may be more or less speculative, aggressive, or leveraged than those employed on behalf of other accounts, or may involve trading in different markets or instruments than other accounts. 

Trading results experienced by the Client may be substantially different from trading results experienced in proprietary or other client accounts, including for the reasons set forth above. AGM and its principal do not have any duty to account to the Client for profits derived from such other activities. The Client will not be permitted to inspect trading records pertaining to proprietary or other client accounts. 

AGM will at all times have regard to its obligations to act in the best interests of the Client (having regard also to the AGM’s obligations to other clients) when undertaking any trades and investments where conflicts of interest may arise, and AGM will undertake to resolve such conflicts fairly.
